Mr. Karbiner is a Senior Director at Phoenix and has participated in more than 85 engagements since joining the team in May of 2003. Mark is a proven leader with more than 20 years of successful accomplishments in a broad array of complex transactions and challenging management situations. He is a skilled negotiator who is quick to assess a situation, develop practical strategic alternatives, build consensus, and implement an effective action plan to preserve and enhance value.
Mark has advised a variety of public and privately held middle market companies providing turnaround management and capital advisory services. He works on-site with Phoenix clients to provide turnaround management, crisis management, interim management, operational assessments, financial forecasting, cash management, strategic advisory, bankruptcy advisory, liquidation/business wind down, due diligence reviews, and litigation support.
Mark also advises middle market companies on a wide range of transactions including mergers and acquisitions, plans of reorganization, and financial restructurings, as well as the private placement of senior and subordinated debt. Mark has completed over 30 sale and restructuring engagements, involving mergers and acquisitions advisory, complex valuations, financial restructurings, and private placements of debt and equity. Mark’s diversified experience enables him to provide interim management as well as financial and operational leadership for middle market companies that are facing operational and financial challenges. He also provides hands-on transactional leadership for middle market companies in need of capital, financial advisory, operational, and M&A assistance. Overall, Mark has worked with more than 135 middle market companies with an aggregate enterprise value of more than $2.5 billion.
Prior to joining Phoenix, Mark was an Analyst in the Investment Banking Group of Fleet Securities in Philadelphia. In this position, he worked on more than 50 completed transactions for clients, ranging from mergers and acquisitions to fairness opinions and corporate valuations. He provided strategic and financial advisory services for clients in industries that included the Internet, cable, manufacturing, retail, distribution, construction, financial services, insurance, business-to-business services, and telecommunications.
Mark began his professional career with Howard, Lawson & Co., a regional investment bank specializing in corporate finance advisory services for middle market companies. He was responsible for preparing investment memoranda and valuations, performing industry benchmarking analysis and research, and participating in due diligence for M&A transactions.
Mark earned a J.D. from Villanova University and a B.A. from Colgate University. Mark is an active member of the Turnaround Management Association (TMA), Association for Corporate Growth (ACG), and Commercial Finance Association (CFA). In addition, he is registered with FINRA and holds his Series 7, Series 63, Series 79, and Series 24 licenses.
Interim Executive Management Position, Piccadilly Cafeterias, Inc.: Improve Piccadilly’s profitability from $16 million to $25 million in EBITDA and successfully sold the business within a §363 bankruptcy auction to a private equity investor for $80 million.
Financial Advisor, Home Market Foods: Provided the client with substantial new working capital and availability at closing, enabled the client to de-leverage its balance sheet by more than 40% outside of bankruptcy, and allowed the owners to retain majority ownership of the business while eliminating certain personal guarantees. Phoenix landed two prestigious awards for outstanding achievement in the middle market at the annual M&A Advisor Awards.
Financial Advisor, International Designer, Manufacturer, and Supplier of Proprietary Clean-Tech Energy Saving and Performance-Enhancing Solutions: Led due diligence efforts that resulted in the company being acquired by a major, international strategic buyer. Phoenix landed two prestigious awards for outstanding achievement in the middle market at the annual M&A Advisor Awards.
Financial Advisor, Manufacturer of Vinyl and Aluminum Windows, Doors, Screens, and More: Led the $100 million refinancing of the $500 million fully-integrated manufacturer.
Financial Advisor, Manufacturer of Customized Aluminum Extrusions: Sold Company in a §363 bankruptcy sale for $95 million (enterprise value) to Bayside Capital, an affiliate of H.I.G. Capital.
Financial Advisor, Fabricator and Distributor of Architectural Glass and Aluminum Products: Led a $54 million §363 bankruptcy sale to Sun Capital.
Financial Advisor, Provider of Satellite Communications and Information Technology Services: Served as primary due diligence liaison between the Company and lender in $16 million refinancing.
Sell-Side Advisor, Manufacturer and Distributor of Value-Added, High-Loft, Non-Woven Materials: Served as primary liaison between investment banker, private equity owner, and management with regard to due diligence requests throughout the sale of the business.
Sell-Side Advisor, Cloud-Based Connected Device and Application Platform: Worked independently with private equity (PE) owner, investment banker, and management of business units from the pre-due diligence process through to a major competitor’s acquisition of the Company.
