Joseph Nappi is a Senior Managing Director and Shareholder at Phoenix Management Services. He is a seasoned professional in the restructuring industry with over 15 years of experience in special situation transactions, restructurings, and due diligence assignments.
He has experience leading and assisting many middle market companies in a variety of roles such as turnaround manager, investment banker, commercial lender, and financial advisor. He has been involved in numerous transactions involving complex operational and/or financial restructurings, capital raising, and buy/sale mandates in North America and Europe. Clients have ranged across several industries and business environments including: public, private, family-owned, start-up, and private equity sponsored companies.
Specializing in management teams, Joe’s propensity to develop collaborative solutions within all of the constituents is a particular strength that leads to effective and measurable solutions. Joe has served in interim management roles including CRO and CFO. In addition, he has led many M&A pre-transaction related due diligence, quality of earnings, and business assessments in a wide variety of business circumstances, industries, and transaction types. These roles have included one of the largest transportation companies in the United States, a multinational metal tubing company with US and UK operations, and a multi-site prototyping and bridge production manufacturer to the automotive and aerospace industries. Joe’s understated style allows his clients and their related constituents to reach consensus in a manner that reflects his practical approach to problem solving. He has expertise in financial analysis and forecasting and exceptional operating acumen. This leads to an ability to quickly assess a situation, develop practical strategic alternatives, build consensus, and implement an effective strategy that addresses his clients’ issues.
Joe was a portfolio manager at FleetBoston Financial, focusing on middle market companies and managing a loan portfolio in excess of $500 million. He was responsible for several aspects of the underwriting process and monitoring the portfolio’s performance. Prior to joining Fleet, Joe held various portfolio and analytical positions at the Chase Manhattan Bank.
Joe graduated cum laude from Babson College with a B.S. in Financial Investments and a minor in Management Information Systems. He further pursued his professional career graduating from the Chase Manhattan Bank’s Global Investment Banking Training Program. Joe holds the Certified Turnaround Professional (CTP) designation from the Turnaround Management Association (TMA) as well as his Series 79 license with FINRA. In addition, Joe is an active member in a number of local and national professional and charitable organizations, including President-elect of the Northeast Chapter of the Turnaround Management Association.
Interim CFO and Controller, EDiscovery, Consulting & Staffing Company: Managed the financial team and led the integration of a new acquisition.
Chief Financial Advisor, Recycled Paper Manufacturer: Improved timing of financial statements, weekly and monthly reporting for the board, and scorecarded results.
CRO, Middle Market, Multi-Location Architectural, Interior Design, and Engineering Firm: Restructured the operations, streamlined its financial reporting, negotiated with the Company’s unsecured constitutes, and worked through finding a more permanent and acceptable working capital solution.
Interim CFO, Independent Provider of Vehicle Towing, Recovery, and Auto Auction Services: Directed the activities of the Accounting, Budget, Treasury, and Investor Relations departments. He also guided the Company as it struggled with cash management during a critical yearlong reorganization.
Financial Advisor, Food Distributor: Led negotiations with vendors and developed a five-year financial and operating business plan that allowed the Company to emerge from bankruptcy in less than a year.
Financial Advisor, Manufacturer of Circuit Boards: Performed a financial assessment of the business that included the development of a three-year financial forecast for the recapitalization of the balance sheet.
Financial Advisor, Private Equity Fund: Performed a business assessment and financial review prior to a successful $24 million synergistic acquisition of two rubber manufacturing companies that resulted in a new company with $82 million in revenue.
Financial Advisor, Distributor of Construction Equipment: Created a five-year financial forecast model for a planned recapitalization of the balance sheet with new facilities, conducted financial analyses of the Company’s business plan, and facilitated due diligence processes.
Interim Cash Manager, Distributor of Solar Power Manufacturing Equipment: Renegotiated trade credit terms that resulted in greatly improved operations and cash flow and a recapitalization of the balance sheet.
Financial Advisor, Manufacturer of Circuit Boards: Refinanced and recapitalized a $250 million contract manufacturer of circuit boards that involved $55 million of new facilities.
Financial Advisor, Venture-Backed Biomedical Software Technology Company: Managed the core operations for an Assignment for the Benefit of Creditors, which provided maximum value for the sale of assets of a $62 million company.
Financial Advisor, Premier Manufacturer and Supplier of Specialty Chemical Products: Refinanced and recapitalized a $62 million company in the personal care and industrial markets.
