Mark Karbiner joined Phoenix in May 2003, and has worked with a variety of public and privately held middle market companies providing capital advisory and turnaround management advisory services in diverse industries including: distribution, manufacturing, retail, pharmaceutical, restaurant, frozen foods, automotive, technology, business services, consumer products and specialty chemicals.
Mr. Karbiner primarily focuses his time with Phoenix’s capital advisory group, Phoenix Capital Resources, where he has advised middle market companies on a wide range of transactions in and out of Chapter 11, including mergers and acquisitions, plans of reorganization, and financial restructurings, as well as the private placement of senior and subordinated debt. In addition, he has gained extensive interim and turnaround management experience working on-site with Phoenix Management Services clients.
In keeping with Phoenix Capital’s commitment to bring its operational expertise to each engagement, Mr. Karbiner has also provided business assessments and overseen improvements within his clients’ operations: finance/cash management, organizational restructuring and real estate management. He has created complex financial models, forecasts and budgets to assess and manage the revenue generation capabilities, cost management, and working capital needs of clients.
Some of Mr. Karbiner’s representative engagements include serving in an interim executive management position for a 145-location restaurant chain and assisting in the sale of the client’s assets for $80 million in a §363 bankruptcy auction to a private equity investor. Mr. Karbiner also advised a specialty chemical manufacturer in refinancing its $35+ million senior credit facility under severe time constraints.
Mr. Karbiner was instrumental in the recapitalization of Home Market Foods, a $100 million premium food and meal solutions provider with a substantially over-leveraged balance sheet and minimum collateral value.
Mr. Karbiner’s work on this complex recapitalization provided the client with substantial new working capital and availability at closing, enabled the client to de-leverage its balance sheet by more than 40% outside of bankruptcy, and allowed the owners to retain majority ownership of the business while eliminating certain personal guarantees. In recognition of the team’s efforts for the Home Market Foods recapitalization, Phoenix Capital Resources landed two prestigious awards for outstanding achievements in the middle market financing industry at the second annual M&A Advisor Middle Market Financing Awards in June 2007.

Prior Experience
Prior to joining Phoenix, Mr. Karbiner was an Analyst in the Investment Banking Group of Fleet Securities in Philadelphia. In this position, Mr. Karbiner worked on over 50 completed transactions for clients ranging from mergers and acquisitions to fairness opinions and corporate valuations. He provided strategic and financial advisory services for clients in industries that included the Internet, cable, manufacturing, retail, distribution, construction, financial services, insurance, business-to-business services, and telecommunications.
Mr. Karbiner began his professional career with Howard, Lawson & Co., a regional investment bank specializing in corporate finance advisory services for middle market companies. He was responsible for preparing investment memoranda and valuations, performing industry benchmarking analysis and research, and participating in due diligence for M&A transactions.
Education/Affiliations
Mr. Karbiner earned a Juris Doctor from Villanova University and a B.A. from Colgate University. In addition, he is registered with the National Association of Securities Dealers and holds his Series 24, Series 7 and Series 63 licenses.
