Mr. Karbiner is a Senior Director at Phoenix and has participated in more than 85 engagements since joining the team in May of 2003. Mark is a proven leader with nearly 20 years of successful accomplishments in a broad array of complex transactions and challenging management situations. He is a skilled negotiator who is quick to assess a situation, develop practical strategic alternatives, build consensus and implement an effective action plan to preserve and enhance value. Mark has advised a variety of public and privately held middle market companies providing turnaround management and capital advisory services in diverse industries including distribution, manufacturing, retail, pharmaceutical, restaurant, frozen foods, automotive, aircraft and parts, technology, business services, consumer products, direct mail, healthcare, paper products, construction, specialty chemicals, oil & gas, telecommunications, and clean energy.

Mark works on-site with Phoenix clients to provide turnaround management, crisis management, interim management, operational assessments, financial forecasting, cash management, strategic advisory, bankruptcy advisory, liquidation/business wind down, due diligence reviews, and litigation support.

Mark also advises middle market companies on a wide range of transactions including mergers and acquisitions, plans of reorganization, and financial restructurings, as well as the private placement of senior and subordinated debt. Mark has completed over 25 sale and restructuring engagements, involving mergers and acquisitions advisory, complex valuations, financial restructurings and private placements of debt and equity.

Mark’s diversified experience enables him to provide interim management as well as financial and operational leadership for middle market companies that are facing operational and financial challenges. He also provides hands-on transactional leadership for distressed middle market companies that are in need of capital, financial restructuring, and M&A assistance.

Overall, Mark has worked with more than 135 middle market companies with an aggregate enterprise value of more than $2 billion.

Selected Advisory Experience

  • Served as Chief Restructuring Officer (CRO) to one of the largest cold-set web-publication printers in the northeast. Responsible for the day-to-day leadership and operational/strategic oversight of the Company. Also spearheaded the Company‚Äôs refinancing efforts.
  • Served in interim executive management position to Piccadilly Cafeterias, Inc., the largest publicly held restaurant chain in the southeast with more than 175 locations in fourteen states. Assisted in the restructuring, turnaround and sale of the business. In conjunction with Phoenix’s restructuring efforts, Phoenix was able to improve Piccadilly’s profitability from $16 million to $25 million in EBITDA and successfully sold the business within a §363 bankruptcy auction to a private equity investor for $80 million (a 48% premium to the $54 million initial “stalking horse” bid).
  • Served as financial advisor to Home Market Foods, a $100 million progressive and diversified premium food and meal solutions company that was experiencing several challenges including an unprecedented rise in raw meat prices, operational and integration issues related to consolidating previous acquisitions, and problems with a major system conversion that left the company over leveraged and out of compliance with its various lenders. Mr. Karbiner’s work on this complex recapitalization provided the client with substantial new working capital and availability at closing, enabled the client to de-leverage its balance sheet by more than 40% outside of bankruptcy, and allowed the owners to retain majority ownership of the business while eliminating certain personal guarantees. In recognition of the team’s efforts for the Home Market Foods recapitalization, Phoenix landed two prestigious awards for outstanding achievement in the middle market at the annual M&A Advisor Awards.

  • Served as financial advisor to $500 million fully-integrated manufacturer of vinyl and aluminum windows and doors, screens and other related products in $100 million refinancing.
  • Served as financial advisor to $275 million manufacturer of customized aluminum extrusions. Company sold in a §363 bankruptcy sale for $95 million (enterprise value) to Bayside Capital, an affiliate of H.I.G. Capital.
  • Served as financial advisor to $200 million fabricator and distributor of architectural glass and aluminum products in a $54 million §363 bankruptcy sale to Sun Capital.
  • Served as financial advisor to $100 million leading provider of satellite communications and information technology services to the commercial maritime industry worldwide. Served as primary due diligence liaison between the Company and lender in $16 million refinancing.
  • Served as financial advisor to an international designer, manufacturer and supplier of proprietary clean-tech energy saving and performance-enhancing solutions to the power generation and oil & gas industries. Mr. Karbiner led the due diligence effort on the seller’s behalf. Ultimately, the company was acquired by a major, international strategic buyer, resulting in the majority investors receiving 1.61 times their original note investment as well as a portion of their original equity investment, and the preservation of nearly 125 jobs with no need to liquidate any remaining parts of the business. In recognition of the team’s efforts for this M&A sale transaction, Phoenix landed the “Cross-Border Deal of the Year” and the “Divestiture Deal of the Year” for outstanding achievement in the middle market at the sixth annual M&A Advisor Awards.

PRIOR EXPERIENCE

Prior to joining Phoenix, Mark was an Analyst in the Investment Banking Group of Fleet Securities in Philadelphia. In this position, he worked on more than 50 completed transactions for clients, ranging from mergers and acquisitions to fairness opinions and corporate valuations. He provided strategic and financial advisory services for clients in industries that included the Internet, cable, manufacturing, retail, distribution, construction, financial services, insurance, business-to-business services, and telecommunications.

Mark began his professional career with Howard, Lawson & Co., a regional investment bank specializing in corporate finance advisory services for middle market companies. He was responsible for preparing investment memoranda and valuations, performing industry benchmarking analysis and research, and participating in due diligence for M&A transactions.

EDUCATION / AFFILIATIONS

Mark earned a J.D. from Villanova University and a B.A. from Colgate University. Mark is an active member of the Turnaround Management Association (TMA), Association for Corporate Growth (ACG), and Commercial Finance Association (CFA). In addition, he is registered with FINRA and holds his Series 7, Series 63, Series 79 and Series 24 licenses.
