Joseph Nappi is a Senior Managing Director and Shareholder at Phoenix Management Services. He is a seasoned professional in the restructuring industry with over 15+ years of experience in special situation transactions, restructurings & due diligence assignments. He has led and assisted many middle market companies in a variety of roles including: turnaround manager, investment banker, commercial lender and financial advisor. He has been involved in numerous transactions involving a wide range of outcomes including: complex operational and/or financial restructurings, capital raising and buy/sale mandates in North America and Europe. Clients have ranged across several industries and business environments including: public, private, family-owned, start-up and private equity sponsored companies.

Specializing in working with management teams, his propensity to develop collaborative solutions within all of the constituents is a particular strength that leads to effective and measureable solutions. Joe has served in interim management roles including Chief Restructuring Officer (CRO) and CFO. In addition, Joe has led many M&A pre-transaction related due diligence, quality of earnings and business assessments in a wide variety of business circumstances, industries and transaction types. These roles have included one of the largest transportation companies in the United States, a multinational metal tubing company with US and UK operations, and a multi-site prototyping & bridge production manufacturer to the automotive and aerospace industries.

He has expertise in financial analysis and forecasting and exceptional operating acumen.   • Served as interim CFO and Controller for an EDiscovery, Consulting & Staffing Company. He managed the financial team and led the integration of a new acquisition. Under Joe’s leadership, new policies and financial disciplines were installed throughout the Company, including the consolidation of billing and collection departments. He oversaw the timely close of the general ledger, managed cash, improved cash flow modeling, monthly segment reporting, financial dashboards, as well as, communicated on legal issues, managed the HR function and developed processes for the Operations and Sales organizations.
  • Served as Chief Financial Advisor for a recycled paper manufacturer. Joe was responsible for all aspects of the financial department, including improving timing of financial statements, weekly and monthly reporting for the board and scorecarded results. All aspects of the finance department and reporting were streamlined to provide clarity to the constituents of the business.
  • Served as CRO for a middle market, multi-location architectural, interior design, and engineering firm. He oversaw the restructuring of the operations, streamlined its financial reporting, negotiated with the Company’s unsecured constitutes, and worked through finding a more permanent and acceptable working capital solution.
  • Served as interim CFO for one of the largest independent providers of vehicle towing, recovery, and auto auction services in the Mid-Atlantic region. In this capacity, Joe was responsible for directing the activities of the Accounting, Budget, Treasury, and Investor Relations departments. He also guided the Company as it struggled with cash management during a critical yearlong reorganization. Under Joe’s watch, financial disciplines and processes were implemented that served the Company long after the completion of his assignment and significantly improved the Company’s credibility with its lenders and investors.
  • Served as Financial Advisor to a $100 million food distributor, leading negotiations with vendors and developing a five-year financial and operating business plan that allowed the reorganized company to emerge from bankruptcy in less than a year.
  • Served as Financial Advisor to a $250 million contract manufacturer of circuit boards. He successfully performed a financial assessment of the business that included the development of a three-year financial forecast for the recapitalization of the balance sheet. Upon closing, Joe continued to serve as Financial Advisor to the Company as it transitioned to the new lending group.
  • Served as Financial Advisor to a private equity fund, performing a business assessment and financial review prior to a successful $24 million synergistic acquisition of two rubber manufacturing companies that resulted in a new company with $82 million in revenue.
  • Served as Financial Advisor to a $45 million distributor of construction equipment. He performed a business assessment and created a five-year financial forecast model for a planned recapitalization of the balance sheet with new facilities, including an asset-based revolver, “B loan,” and new equity. Joe conducted various financial analyses of the Company’s business plan for the existing creditors and related professionals. He also facilitated the due diligence process between the Company, new potential capital investors, and related professionals.
  • Served as interim Cash Manager for a $17 million distributor of solar power manufacturing equipment. He successfully renegotiated trade credit terms that resulted in greatly improved operations and cash flow and a recapitalization of the balance sheet.

Joe served as the Financial Advisor for the following deals:

  • Refinancing and recapitalization of a $250 million contract manufacturer of circuit boards that involved $55 million of new facilities, including a syndicated asset-based revolver, “B loan,” and subordinated debt.
  • Managing the core operations for an Assignment for the Benefit of Creditors, which provided maximum value for the sale of assets of a $62 million venture-backed biomedical software technology company.
  • Refinancing and recapitalization of a $62 million premier manufacturer and supplier of more than 120 specialty chemical products for the personal care and industrial markets. The assignment involved $20 million of new debt instruments, including an asset-based revolving line of credit and mezzanine junior capital loan.


Joe was a portfolio manager at FleetBoston Financial, focusing on middle market companies and managing a loan portfolio in excess of $500 million. He was responsible for several aspects of the underwriting process and monitoring the portfolio’s performance. Prior to joining Fleet, Joe held various portfolio and analytical positions at the Chase Manhattan Bank.


Joe graduated cum laude from Babson College with a B.S. in Financial Investments and a minor in Management Information Systems. He further pursued his professional career graduating from the Chase Manhattan Bank’s Global Investment Banking Training Program. Joe is a Certified Turnaround Professional (“CTP”) with the Turnaround Management Association and is registered with FINRA and holds his Series 79 license. In addition, Joe is an active member in a number of local and national professional and charitable organizations, including President-elect of the Northeast Chapter of the Turnaround Management Association.
